These Terms of Service (“Terms”) govern your access to and use of concordia.computer (the “Site”), operated by Concordia Computer (“Concordia,” “we,” “us,” or “our”), a planned multi-gigawatt supercomputer of Labs Companies, Inc., a Delaware corporation headquartered in Santa Monica, California (“Labs”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site.
You may use the Site only if you can form a binding contract in your jurisdiction and only in compliance with these Terms and all applicable laws. The Site is not directed to children under 13, and they may not use it.
The Site presents Concordia Computer — its mandate, planned facilities, hardware, silicon direction, architecture, and timeline — together with its relationship to Labs and to Labsintuition, the operating lab and systems integrator for Physical Intelligence. The Site is provided for informational purposes only.
Content on the Site includes text, graphics, illustrations, technical schematics, interactive three-dimensional visualizations, simulated and photoreal concept renders, photographs, logos, wordmarks, page designs, code, and their selection and arrangement (collectively, “Content”).
Concordia is a planned system. Everything the Site describes about it — the campus, facilities, clusters, Frontier Orchestration Clusters, network, power envelope, cooling, silicon (including any described processors, units, memory, or fabric), capacity, capabilities, partners, and dates such as groundbreaking in 2030 or full build-out around 2032 — is aspirational, presented as design intent or research direction, has not been built or delivered, and may change materially or never come to exist. Renders and visualizations on the Site are concept depictions, not photographs of existing facilities or equipment. Nothing on the Site is a representation, warranty, or commitment that any described system, capability, facility, specification, or schedule exists or will be delivered.
Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or other financial instrument, nor an offer of compute capacity, colocation, hosting, or any other service. Nothing on the Site is investment, legal, tax, accounting, engineering, or other professional advice. Information about Labs' structure, labs, or initiatives is provided for general information only.
The Site and all Content are owned by or licensed to Labs and its affiliates and are protected by copyright, trademark, trade-dress, and other intellectual-property laws. All rights in the Content are reserved to Labs IP, LLC, by way of Labs IP Management, L.L.C.
“Labs,” “Concordia,” “Concordia Computer,” “Labsintuition,” the Concordia emblem and wordmark, and the other Labs names, logos, emblems, and wordmarks displayed on the Site are trademarks or trade dress of Labs and its affiliates. Nothing in these Terms grants you any right to use any Labs trademark without our prior written permission.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and to view, download, and print Content solely for your personal, informational, non-commercial use, provided you keep all copyright and other proprietary notices intact. Any other use — including reproduction, modification, distribution, republication, public display, framing, or creation of derivative works — requires our prior written consent.
You agree that you will not:
If you send us comments, ideas, suggestions, or other feedback about the Site or Concordia, you grant Labs a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback for any purpose without obligation or compensation to you. Do not send us confidential or proprietary information; anything you send us through the Site or by email referencing the Site will be treated as non-confidential.
The Site links to other Labs properties (for example, labscompanies.ai and labsintuition.com) and may link to websites operated by third parties. Linked sites are governed by their own terms and privacy policies, and we are not responsible for their content or practices. A link does not imply endorsement.
We may modify, update, suspend, or discontinue the Site or any part of it at any time, with or without notice, and we may impose limits on features or restrict access. We are not liable to you for any modification, suspension, or discontinuation of the Site.
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE CONTENT IS ACCURATE, COMPLETE, OR CURRENT. YOU USE THE SITE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONCORDIA, LABS, OR THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SITE OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF CONCORDIA, LABS, AND THEIR AFFILIATES FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Concordia, Labs, and their affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or connected with your violation of these Terms, your misuse of the Site or Content, or your violation of any law or the rights of any third party.
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict-of-laws principles. For any matter not subject to arbitration under Section 16, you and Concordia consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.
Any dispute arising out of or relating to these Terms or the Site that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS in Los Angeles County, California, under its applicable rules, rather than in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive or equitable relief in court for actual or threatened infringement or misuse of intellectual property. You and Concordia each waive the right to a trial by jury and to participate in a class action. If any portion of this Section is found unenforceable, the remainder remains in effect, except that if the class-action waiver is found unenforceable, this entire Section is void.
You may stop using the Site at any time. We may suspend or terminate your access at any time, with or without cause or notice, including if we believe you have violated these Terms. Sections that by their nature should survive termination — including Sections 4, 6, 9, and 12 through 19 — survive.
We may revise these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, provide additional prominent notice on the Site. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, are the entire agreement between you and Concordia regarding the Site and supersede all prior understandings on that subject. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any agency, partnership, or joint venture.
